Terms of Service

Company

These terms govern your use of ficaition.com and any services provided by FicAition FZE LLC, a company registered in Dubai, UAE.

Services

FicAition provides custom software development, AI agent deployment, and technical consulting services. All projects are governed by an individual Statement of Work (SOW) agreed upon before work begins.

Engagement Terms

  • All projects are fixed-price unless otherwise agreed in writing
  • Scope, timeline, and deliverables are defined in the SOW
  • Changes to scope require a written change order and may adjust pricing

Payment

  • All invoices are denominated in AED (UAE Dirham)
  • Standard terms: 50% upfront, 50% on delivery
  • Payment is due within 14 days of invoice date (Net 14)
  • Custom payment schedules may be arranged for larger engagements

Delivery Guarantee

On-time delivery is guaranteed as specified in the SOW. If FicAition misses a delivery deadline through no fault of the client, the client receives a 20% discount on the total project value. Force majeure events are excluded.

Intellectual Property

  • The client owns all custom code, designs, and deliverables upon full payment
  • FicAition retains the right to use the project as a portfolio case study unless a Non-Disclosure Agreement is in place
  • Open-source components used in projects retain their original licenses

Confidentiality

All client data, business information, and project details are treated as confidential. A formal Non-Disclosure Agreement is available upon request at no additional cost.

Limitation of Liability

FicAition's total liability is limited to the total project value paid by the client. FicAition is not liable for indirect, incidental, or consequential damages arising from the use of delivered software.

Termination

  • Either party may terminate the engagement with 14 days written notice
  • The client pays for all work completed up to the termination date
  • All completed deliverables are transferred to the client upon payment

Dispute Resolution

Any disputes arising from these terms or any SOW shall be resolved under UAE Federal Law in the courts of Dubai, UAE.
